Terms of Use

Thank you for using the SquadSlips Platform. The Platform is operated by SquadSlips LLC, a Delaware limited liability company ("SquadSlips," "we," "us," or "our"). SquadSlips invites you to access and use our proprietary platform, which allows users to view live odds, build and track simulated bet slips, share their picks with squads and followers, and compare community rankings. We make the Platform available to you through our mobile application, any app extensions we offer, and related web pages (including public pick pages and squad invite pages), collectively referred to as the "Platform". Your access to the Platform is subject to the following terms of use, the "Terms of Use", which may be updated by us from time to time without notice to you.

By accessing the Platform and completing any onboarding process, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use, and you represent that you are 18 years of age or older. IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU MAY NOT ACCESS OR USE THE PLATFORM OR THE SERVICES DESCRIBED HEREIN.

1. Entertainment Purposes Only, No Real Money Gambling

SquadSlips is a high speed odds terminal and social platform intended strictly for entertainment and informational purposes. We are not a sportsbook, and we do not accept real money wagers. Any parlays, straight bets, or bet slips created, tracked, or shared within the Platform are entirely simulated. Stakes and results are expressed in "units" that have no real world cash value. The rankings, leaderboards, streaks, and records generated from these simulated picks cannot be redeemed for currency, prizes, or compensation of any kind.

2. Eligibility and Your Account

To use SquadSlips you create an account with a verified mobile phone number. You agree to the following:

• Age: you must be at least 18 years old. When you create your account you confirm that you are 18 or older, and we record that confirmation together with your acceptance of these Terms of Use.
• Accurate information: you represent that the phone number you provide is yours (or that you are authorized to use it) and you agree to keep it current. If you lose control of your phone number, contact us.
• Personal account: your account is for your own personal, non-commercial use. You may not sell, rent, or transfer it, and you are responsible for all activity that occurs under it.
• One active device: a SquadSlips account may be signed in on one device at a time. Signing in on a new device signs the previous device out.
• Usernames: your @username must not impersonate another person, infringe anyone's rights, or be offensive or misleading. We may reclaim or reassign usernames that violate these rules.
• Security: the one-time codes we send you by SMS are the key to your account. Never share a sign-in code with anyone. SquadSlips will never ask you for a code outside the sign-in flow.

3. Third Party Sportsbook Integrations and Deep Links

Our Platform allows you to view odds provided by licensed external sportsbooks. If you choose to interact with these odds, SquadSlips may generate a deep link that navigates you out of our Platform and directly into a third party sportsbook application, pre populating a bet slip on their platform. When you use these features, you acknowledge and agree to the following:

• No Agency: SquadSlips operates solely as a navigational and informational tool. We do not place bets on your behalf.
• Affiliate Relationships: The links provided to third party sportsbooks may be affiliate links. SquadSlips may receive compensation strictly if you use these links to create a new account or sign up with a third party sportsbook. We do not receive compensation based on your betting volume, your losses, or your ongoing real money wagering activity.
• Assumption of Risk: If you choose to place a real money wager on a third party sportsbook after navigating away from SquadSlips, you do so entirely at your own risk. You are solely responsible for ensuring you meet the legal age requirements, typically 21 years old, and jurisdictional requirements of those external platforms.
• Discrepancies and Deep Link Errors: Odds change rapidly, and the technical infrastructure connecting our Platform to external applications is complex. SquadSlips does not guarantee that the odds displayed on our Platform will exactly match the odds available at the time you attempt to place a real money wager on a third party sportsbook. Furthermore, from time to time, the generated deep links may be incorrect, fail to route properly, or pre populate an inaccurate bet slip. You are solely responsible for verifying all bet details, including odds, teams, and stake amounts, directly within the third party sportsbook application before confirming any real money wagers.

4. SMS Messaging and Account Verification

To sign in to SquadSlips, you verify your mobile phone number. By providing your mobile phone number and requesting a verification code, you agree to the terms of the SquadSlips messaging program described in this section.

• Program: The SquadSlips messaging program sends one-time, six-digit account verification codes (sign-in codes) by SMS to the mobile number you provide. These messages are used solely to authenticate you when you sign in to SquadSlips or switch devices. We do not send marketing or promotional messages through this program.
• Message frequency: Messages are transactional and are sent only when you request a sign-in code, typically one message per sign-in attempt.
• Message and data rates: Message and data rates may apply, depending on your mobile carrier and plan. SquadSlips does not charge you for these messages.
• Opt-out: You may opt out at any time by replying STOP to any message from SquadSlips. Because a verification code is required to sign in, opting out will prevent you from signing in until you opt back in.
• Help: For help with the messaging program, reply HELP to any message, or contact us at luke@squadslipsapp.com.
• Carrier disclaimer: Mobile carriers are not liable for delayed or undelivered messages.
• Eligibility: You represent that you are the subscriber of, or are authorized to consent for, the mobile number you provide, and that you are able to receive SMS messages at that number.

Verification messages are delivered through our third party SMS provider, Twilio. Your mobile phone number is collected and handled as described in our Privacy Policy.

5. Your Content

SquadSlips lets you post content: picks and captions, comments, reactions, squad names, and images (profile and cover photos, squad photos, squad invite backgrounds, and squad board images), collectively "User Content". By agreeing to these Terms of Use during onboarding, you also agree to the content standards in this section and Section 6.

• Ownership and license: you retain ownership of your User Content. You grant SquadSlips a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt for technical display, publish, and display your User Content solely to operate and improve the Platform. This includes showing it to your squads and followers according to your sharing choices, including it in notifications delivered to relevant users, and rendering it on public share and invite pages that you or your squad create. The license ends when your content or account is deleted, except for the de-identified or redacted remnants described in our Privacy Policy and copies we must retain for legal compliance.
• Moderation: every uploaded image is automatically scanned against known child sexual abuse material before publication, profile and squad imagery is additionally reviewed automatically for explicit content, and posted content may be reviewed by us or hidden automatically when other users report it. We may remove, hide, or refuse any User Content at any time at our sole discretion.
• Zero tolerance: there is no tolerance on SquadSlips for objectionable content or abusive users. Content that sexualizes minors is removed, the account is suspended, and we are required by federal law to report it to the National Center for Missing & Exploited Children.
• Reporting and blocking: the app provides tools to report any post, comment, or user, and to block any user. Blocking hides you and the blocked user from each other across the Platform. We review reports and take appropriate action promptly, generally within 24 hours.

6. Community Guidelines and Acceptable Use

Within the SquadSlips community, you are required to follow basic rules of respect and technical compliance. You agree that you will not:

• Post content that is sexually explicit, that depicts graphic violence, or that exploits or endangers minors in any way.
• Harass, threaten, defame, or bully other users, or post hateful content targeting any person or group.
• Impersonate any person or entity, misrepresent your affiliation with anyone, or post other people's private information.
• Use the Platform for any unlawful purpose, or post content that promotes illegal activity.
• Post spam, scams, or deceptive promotions, or use the Platform to advertise commercial services.
• Upload content that infringes any copyright, trademark, or other proprietary right.
• Interfere with or attempt to interrupt the proper operation of the Platform through the use of any virus, automated device, or hacking mechanism.
• Use any robot, spider, scraper, or other automated means to access the Platform or extract our odds data for any commercial purpose.
• Attempt to evade moderation or enforcement, including by creating new accounts to circumvent a suspension or a block.

We reserve the right, in our sole and absolute discretion, to remove content, restrict features, or deny you access to the Platform without notice if you violate these guidelines.

7. Suspension, Termination, and Account Deletion

• Deleting your account: you may delete your SquadSlips account at any time from the app's settings. Deletion is immediate and handled as described in our Privacy Policy: your identity is removed, and picks or posts you shared into squads remain part of those squads' history in de-identified form.
• Suspension and termination by us: we may suspend or terminate your account, or remove your access to specific features, at any time and without notice if you violate these Terms of Use, if we are required to do so by law, or if your conduct threatens the safety of other users or the integrity of the Platform. Where the law requires it, violations are also reported to the appropriate authorities.
• Survival: sections concerning intellectual property, disclaimers of warranties, limitation of liability, indemnification, controlling law, and arbitration survive any termination of these Terms of Use.

8. Changes to These Terms of Use

We reserve the right, at our sole discretion, to modify, discontinue, or terminate the Platform, or to modify the Terms of Use, at any time and without prior notice. If we modify the Terms of Use, we will post the modification on the Platform. By continuing to access or use the Platform after we have posted a modification, you are indicating that you agree to be bound by the modified Terms of Use. If the modified Terms of Use are not acceptable to you, your only recourse is to cease using the Platform.

9. Intellectual Property

The Platform contains material, such as software, text, graphics, images, and other material provided by or on behalf of SquadSlips, collectively referred to as the "Content". The Content is protected under United States and foreign laws. Unauthorized use of the Content may violate copyright, trademark, and other laws. You have no rights in or to the Content, and you will not use the Content except as expressly permitted under these Terms of Use. You may not sell, transfer, assign, license, sublicense, or modify the Content or reproduce it for any public or commercial purpose. Your User Content remains yours, as described in Section 5.

10. No Warranties, Limitation of Liability

THE PLATFORM, APP, AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. WE HEREBY DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE PLATFORM WILL OPERATE ERROR FREE OR THAT THE ODDS DISPLAYED WILL BE PERFECTLY ACCURATE OR FREE OF DELAY. IN CONNECTION WITH ANY WARRANTY, CONTRACT, OR COMMON LAW TORT CLAIMS, WE SHALL NOT BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM TRADING OR GAMBLING LOSSES INCURRED ON EXTERNAL THIRD PARTY PLATFORMS AFTER USING SQUADSLIPS. ANY DIRECT DAMAGES THAT YOU MAY SUFFER AS A RESULT OF YOUR USE OF THE PLATFORM SHALL BE LIMITED TO ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless SquadSlips, our affiliates, officers, directors, and agents from and against any claims, actions, or demands arising or resulting from your breach of these Terms of Use, your User Content, or your violation of any laws regarding real money wagering in your local jurisdiction.

12. Downloading the App from the App Store

The following terms apply when you download the App from Apple's App Store. You acknowledge and agree that these Terms of Use are concluded between you and SquadSlips only, and not Apple, and SquadSlips, not Apple, is solely responsible for the App and the content thereof. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App. Apple, and Apple's subsidiaries, are third party beneficiaries of these Terms of Use, and upon your acceptance, Apple will have the right to enforce these Terms of Use against you as a third party beneficiary.

13. Controlling Law

These Terms of Use are governed by the internal substantive laws of the State of Illinois, without respect to its conflict of laws provisions. You expressly agree to submit to the exclusive personal jurisdiction of the state and federal courts sitting in the State of Illinois. YOU AGREE THAT ANY CAUSE OF ACTION ARISING UNDER THESE TERMS OF USE MUST BE COMMENCED BY YOU WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

14. Binding Arbitration Agreement and Class Action Waiver

In the event of a dispute arising under or relating to these Terms of Use or the Platform, either party may elect to finally and exclusively resolve the dispute by binding arbitration governed by the Federal Arbitration Act. IF EITHER PARTY CHOOSES ARBITRATION, NEITHER PARTY SHALL HAVE THE RIGHT TO LITIGATE SUCH CLAIM IN COURT OR TO HAVE A JURY TRIAL.

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, there is no right or authority for any dispute to be arbitrated or resolved on a class action basis, and there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public.

15. Miscellaneous

If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision will be deemed restated to reflect the original intentions of the parties, and the remainder of the Agreement will remain in full force and effect. These Terms of Use, together with the Privacy Policy, constitute the entire agreement between you and us with respect to the subject matter.
